Terms and Conditions for Solicitors
Please read these conditions carefully before using Talk2Solicitors.co.uk. By using Talk2Solicitors.co.uk, you signify your agreement to be bound by these Terms and Conditions.
The following words have these meanings:
"Ask this Solicitor a Question", "Ask a Question" or "Get Legal Advice" means for one payment of the total fee listed on a Solicitor's profile, this allows a User to ask the Solicitor one question regarding a topic of law, which that Solicitor has expertise in.
"Free follow up questions" means a User who has asked a Solicitor a question, can then ask the same Solicitor seven follow up questions which are directly related to the original question raised by the User as determined by the solicitor. These follow up questions must be asked within 7 calendar days of the "start date", which is the day on which the Solicitor provides a first response to the User through Talk2Solicitors.co.uk.
"You" means a User, Consumer or Solicitor using the website, including those who have not registered an account with Talk2Solicitors and those who have registered an account with Talk2Solicitors.co.uk.
"We/Us/Our" means Talk2Solicitors.co.uk
“Content” means text, graphics, images, music, software, audio, video, information or other materials.
"User" means a person who is using Talk2Solicitors.co.uk in any capacity other than as a registered solicitor. and has not registered for a Solicitors Account on Talk2Solicitors.co.uk.
"Solicitor" means a person who has been granted use of a "Solicitors Account" by Talk2Solicitors.co.uk.
"Website" means Talk2Solicitors.co.uk
Terms and Conditions
These Terms and Conditions govern your access and your use of Talk2Solicitors.co.uk and constitute a legally binding agreement between you and Talk2Solicitors.
Access and use of Talk2Solicitors.co.uk is offered to you, conditional on your acceptance of these Terms and Conditions. By using Talk2Solicitors, you agree to comply with and be legally bound by these Terms and Conditions.
If you do not agree to these Terms and Conditions or if your breach them, you will have no right to use or access Talk2Solicitors.co.uk
Talk2Solicitors is not a law firm or a group of Solicitors and does not practice law. Talk2Solicitors acts as a channel that allows third party Solicitors to create an online profile on Talk2Solicitors.co.uk.
Talk2Solicitors is neither the buyer nor the seller of Solicitors legal services. Accordingly, the contract formed at the completion of a sale for legal services or legal advice is solely between a Solicitor and a User. The User acts as buyer and a Solicitor acts as the seller. Talk2Solicitors is not a party to this contract nor does it assume any responsibility arising out of or in connection with it nor is it the Solicitor's agent.
Solicitors are responsible for the sale of their services and for dealing with User's claims or any other issue arising out of or in connection with the contract between the buyer and seller.
Solicitors are not employed by Talk2Solicitors
Solicitors who use or who are listed on Talk2Solicitors.co.uk are not employed by us. Talk2Solicitors does not endorse any of the Solicitors on Talk2Solicitors.co.uk nor do we guarantee or insure them in anyway.
Solicitor's independence in services, advice and communication
Solicitors choose independently of Talk2Solicitors what services, advice and communication they will provide to a User and the precise time of when they will provide it to a User within the agreed time scale as stated in this contract.
Talk2Solicitors does not edit or influence any service, advice or communications between a User and Solicitor. You agree and understand that Talk2Solicitors has no control over the service, advice or communications that Solicitors provide through Talk2Solicitors.co.uk.
No obligation to monitor your communication
You agree that Talk2Solicitors have no obligation to monitor the communication and contact between a User and Solicitor.
You agree that Talk2Solicitors has no liability for services, advice and communication provided by a Solicitor to a User on Talk2Solicitors.co.uk.
Solicitors legal services, advice and communication
You understand and agree that as a Solicitor using Talk2Solicitors.co.uk you must only provide general information about the law, and must not provide legal advice directly applicable to a User’s individual legal matter nor propose a specific course of action for a User.
No Solicitors-Client Relationship
You understand and agree that in using Talk2Solicitors.co.uk to provide services, advice or communicating to a User, you will not create a Solicitor-Client relationship with a User, nor will a User be regarded as your prospective Client. Your use of Talk2Solicitors.co.uk will not form an engagement or retainer between you and a User or your employer and a User. You understand and agree that Users on Talk2Solicitors.co.uk are representing themselves at all times.
You understand and agree that Talk2Solicitors does not act as an insurer or as a contracting agent for any Solicitor using Talk2Solicitors.co.uk
Talk2Solicitors.co.uk does act as a referral service of claims or a as a claims management company. It does not refer claims to Solicitors in any capacity.
To use Talk2Solicitors.co.uk you must be 18 years of age or above. By using Talk2Solicitors.co.uk you represent and warrant that you are 18 years of age or above.
Solicitor's Account use
In order to use Solicitor's Account features on Talk2Solicitors.co.uk you must register to create a Solicitor's Account and you must have been verified and approved by Talk2Solicitors. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete.
Conditions for use Solicitor's Account
In order to register and use a Solicitor account on Talk2Solicitors.co.uk you must be:
(i) a qualified Solicitors in England and Wales;
(ii) a qualified Solicitor who is authorised to practice as a Solicitor in England and Wales;
(iii) you must not have faced any sanctions, disciplinary measures or be currently be under investigation in relation to your conduct as a Solicitor;
(iv) you must have Professional indemnity insurance that covers you to practice as a Solicitor in England and Wales, including any services, advice and communication you provide to Users of Talk2Solicitors.co.uk.
(v) you must have a complete Solicitor's profile on Talk2Solicitors and have a genuine photograph of yourself to be displayed on your Solicitor's profile on Talk2Solicitors.co.uk.
(vi) you must not share your personal contact or employer's contact information, address, email address, links to other websites, or any other identifying information on Talk2Solicitors.co.uk or in any answer provided to a User.
At any moment in time, that you fail to meet these conditions you must refrain from using Talk2Solicitors.co.uk and inform us immediately.
Sufficient experience in practice area
You agree that you will not register yourself under a practice area on Talk2Solicitors.co.uk that you do not have sufficient experience practicing in to be able to provide accurate and up to date advice on.
You must not use or post content that:
• you do not own or otherwise control all of the rights to as at the date that the content or material is posted;
• content and material that is not accurate;
• content and material that is capable of breaching any applicable policies or guidelines and causing injury to any person or entity (including content or material that is defamatory).
You agree to indemnify Talk2Solicitors for all claims brought by a third party against Talk2Solicitors arising out of or in connection with the content and material you post on your Solicitor's profile.
Permission from your employer
By using Talk2Solicitors.co.uk as a Solicitor you are confirming that you have been granted expressed permission by your employer or law firm to use Talk2Solicitors.co.uk to provide:
(i) services, advice and communicate with Users;
(ii) write and post a article; and
(iii) use Talk2Solicitors.co.uk in any other form.
Change of your application and registration details
In the instance that the details that you submitted to Talk2Solicitors in applying and registering for a Solicitor Account change, you must immediately inform us.
Use of your profile and photograph by Talk2Solicitors
By using the website and creating a profile about yourself as a Solicitor, you give us permission to use and display your profile on the Talk2Solicitors.co.uk in our promotional activities.
By submitting a photograph of yourself to Talk2Solicitors, you give us permission to use your photograph on Tallk2Solicitors.co.uk and in our chosen promotional activities.
Up to date, factual and accurate profile
The profile that you create on the Talk2Solicitors.co.uk as a Solicitor must be up to date, factual, accurate and complete.
Disclosure of password
You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions performed on your Solicitor's Account on Talk2Solicitors.co.uk, whether or not you have authorized such activities or actions. You also agree to immediately notify Talk2Solicitors of any unauthorized actions on your account.
Email address use and impersonation
You may not use a false e-mail address, impersonate any person or entity in using Talk2Solicitors.co.uk.
No sharing and selling of account
You agree not to share or sell your Solicitor Account on Talk2Solicitors.co.uk to any person or entity.
Suspension or Termination of account
If you breach these Terms and Conditions, use your account in an abusive or illegal manner, we reserves the right to suspend or terminate your account without prior notice.
You must comply with requests we make of you for the purpose of verifying that you are a:
(i) a qualified Solicitor in England and Wales;
(ii) a qualified Solicitor who is authorised to practice as a Solicitor in England and Wales;
(iii) have not faced any sanctions, disciplinary measures or be currently under investigation in relation to your conduct as a Solicitor; and
(iv) have Professional indemnity insurance that covers you to practice as a Solicitor in England and Wales, including advice and communication you provide to Users through Talk2Solicitors.co.uk.
You must comply with the requests within the specified timescales.
You must also comply promptly within the specified timescales of requests, we make of you for the purpose of verifying your Identification.
Third Party Services
Disruption to your use of Talk2Solicitors.co.uk
You understand that your use and access to Talk2Solicitors.co.uk may by disrupted by third party services or third party actions which are beyond our control including, without limitation sever downtime, faults within software; update, repair and maintenance work.
Use of Third Party Services
Damaged or loss caused by Third party services
Talk2Solicitors will not be held liable by you for damage or loss caused by third party services or third party actions.
Termination of Account
Breaching these Terms and Conditions may result in the termination or suspension of your account without prior notice. We reserve the right to terminate your account without prior notice if we judge your use of the website to be improper and contrary to our objectives. You accept that in the case that your account is terminated you will be unable to access information held in your account and previous communications that you have had through the website paid for or otherwise.
Deactivation of Account
We may, in our discretion and without liability to you for a breach of these Terms and Conditions or also without cause, with or without prior notice and at any time:
(ii) block your account; or
(iii) deactivate your account.
In the event we block or deactivate your account, you will remain liable for all amounts due hereunder.
You may deactivate your account at any time by sending an email with your request to Support@talk2solicitors.co.uk. Please note that if your account is deactivated, we do not have an obligation to return to you any content you have posted on Talk2Solicitors.co.uk. On deactivation of your account, the content that you posted on Talk2Solicitors.co.uk may be deleted and become unrecoverable.
Your existing obligations under these Terms and Conditions shall not be affected by the deactivation of your account.
Ratings and Feedback
In providing a rating or review on the Talk2Solicitors.co.uk, you agree not to misuse the rating and review features. You also agree not to provide misleading and inaccurate ratings and reviews. Talk2Solicitors reserves the right to remove your rating or feedback from the website at our sole discretion. Using the website as a Solicitor, you agree and understand that the website has no liability for damage or loss caused to you or a third party such as your employer.
Posted Content e.g. Reviews, Articles and Videos
Registered Users and Registered Solicitors may post reviews, articles, videos, comments and other content; as long as the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of spam.
No compensation will be paid in relation to the use of your posted content. We are under no obligation to post your content and may remove them at any time at our discretion.
If you post, upload, input, provide, submit content or submit material to, and unless we indicate otherwise, you grant:
(i) Talk2Solicitors a non-exclusive, royalty-free and fully sub-licensable and transferable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media; and
(ii) Talk2Solicitors, its sub-licensees and transferees the right to use the name that you submit in connection with such content. No moral rights are assigned to you.
You agree that the rights you grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. To the extent permitted by law, you agree to waive your rights to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Talk2Solicitors, including the execution of deeds and documents, at our request.
You represent and warrant that you own or otherwise control all of the rights to the content that you post, as at the date that the content or material is posted:
(i) the content and material is accurate; and
(ii) use of the content and material you supply does not breach any applicable policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory).
You agree to indemnify Talk2Solicitors for all claims brought by a third party against us, arising out of or in connection with the content and material you supply. If you believe that any content on Talk2Solicitors contains a defamatory statement, or that your intellectual property rights are being infringed by content or information on Talk2Solicitors.co.uk, please notify us by emailing Solicitors@talk2solicitors.co.uk.
Reliance on Content
You accept and understand that content on Talk2Solicitors.co.uk should not:
(i) be used as a direct replacement for obtaining advice from a legal professional offline;
(ii) be used in emergency situations; and
(iii) be relied upon without first consulting a legal professional offline.
You accept and understand that the content on Talk2Solicitors.co.uk is for information and educational purpose only, and you acknowledge and agree that you are aware that some content may not be accurate.
You acknowledge and accept that content on Talk2Solicitors.co.uk may be created by third parties and agree that Talk2Solicitors is not responsible for all the content that appears on Talk2Solicitors.co.uk.
You agree not to use the content that appears publicly on Talk2Solicitors.co.uk for any commercial purpose.
Talk2Solicitors will have no liability for damage or loss caused by your reliance upon content that appears on Talk2Solicitors.co.uk.
You understand and acknowledge that Users may post negative reviews about you. Talk2Solicitors has no liability for damage or loss caused by such negative reviews.
If you believe that any content on Talk2Solicitors.co.uk contains a defamatory statement, or are concerned about a review or rating please notify us by emailing Solicitors@talk2solicitors.co.uk.
You agree to indemnify Talk2Solicitors against any claim, loss, damage, settlement, cost, expense or other liability (including, without limitation, legal fees) arising from or related to: (i) your actual or alleged breach of any obligations listed in these Terms and Conditions; and (ii) your use of an account on Talk2Solicitors.co.uk and any actual or alleged infringement of any Intellectual Property.
Talk2Solicitors shall have no liability to you for any direct or indirect loss, damage, costs, expenses or other claims for compensation whether foreseeable or unforeseeable (including loss of profit or consequential loss or damage or any emotional distress), arising from your use of Talk2Solicitors.co.uk or contact with a User.
Talk2Solicitors shall not be liable for any loss arising from services, advice or communication provided by a Solicitor or content provided by a Solicitor including, but not limited to;
(i) content listed on a Solicitor's profile;
(ii) content in articles or videos;
(iii) a Solicitor's experience;
(iv) a Solicitor's work history; and
(v) a Solicitor's services, advice and communications to a User.
Talk2Solicitors shall not be liable for any loss arising from content posted by a User including, but not limited to;
(i) User's communication with a Solicitor;
(ii) ratings and reviews; and
Talk2Solicitors does not make any warranty, express or implied, in respect of the availability of a Solicitor, the nature, accuracy, timeliness or appropriateness of the services, advice or communications of a Solicitor and such warranties are excluded.
Talk2Solicitors does not make any warranty, express or implied, in respect of the availability of a User, the nature, accuracy, timeliness or appropriateness of a User's request for advice and such warranty or warranties are excluded.
Talk2Solicitors.co.uk should not:
(i) be used as a direct replacement for obtaining advice from a legal professional offline;
(ii) not be used in emergency situations; and
(iii) should not be relied upon without first consulting a legal professional offline.
The contract formed at the completion of a sale for a Solicitors service, advice or communication is solely between Solicitor and User when using Talk2Solicitors.co.uk. Talk2Solicitors is not a party to this contract nor assumes any responsibility arising out of or in connection with it nor is it the Solicitor's agent.
Solicitors on Talk2Solicitors.co.uk are solely liable for the services, advice and communications they provide Users in response to questions and otherwise. Talk2Solicitors has no liability for services, advice and communications, of any kind, exchanged between a User and Solicitor or the actions taken or not taken by a User in response to information provided by a Solicitor. Talk2Solicitors excludes liability to the maximum extent permitted by law.
The same shall also apply to defamatory content or content that infringes rights of third parties.
Talk2Solicitors makes no representations about the suitability, reliability, and accuracy of the content, software, services and related graphics contained on Talk2Solicitors.co.uk for any purpose. All of such are provided with no warranty. Talk2Solicitors disclaims all warranties or conditions of fitness for a particular purpose, title and non-infringement.
Talk2Solicitos is not jointly or severally liable for actions of Solicitors, Users, third parties or third party software that you encounter while using Talk2Solicitors.co.uk.
Talk2Solicitos will not be responsible for:
(i) losses that are caused by a third party or third party software that you encounter while using Talk2Solicitors.co.uk;
(ii) any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure); or
(iii) any other indirect or consequential losses that was not foreseeable to both you and us when you commenced usingTalk2Solicitors.co.uk.
In the case that Talk2Solicitors is found to have caused you loss or damage, you agree that Talk2Solicitors liability is limited to the fee paid by to you by a User in using Talk2Solicitors to ask you a question as a Solicitor, capped at a maximum of £99.00
Contract of sale between a Solicitor and User
A single contract of sale
One contract of sale provides a User with one session with a Solicitor on Talk2Solicitor.co.uk. In one session, a User can submit an initial question to a Solicitor regarding a topic of law that the Solicitor has expertise in. A Solicitor can then provide a response to the question raised. A User can then ask a maximum of 7 follow up questions at no extra cost. Each follow up question must be directly related to the original question the User raised. This is what is meant by "free follow up questions". All follow up questions must be asked within 7 calendar days of a Solicitor's first response to a User.
Offer, Acceptance and Consideration
The User acts as buyer and the Solicitor as seller in the contract of sale of a Solicitor's services, advice or communication. Talk2Solicitors is not a party to this contract nor assumes any responsibility arising out of or in connection with it nor is it the Solicitor's agent.
When a User selects to ask a Solicitor a question on Talk2Solicitors.co.uk and submits their initial question this constitutes an offer by a User to a Solicitor.
A Solicitor signifies acceptance of a User's offer when he provides an initial answer to a User's question. On completion of payment by the User of the "Solicitor's Fee" listed on the Solicitor's profile and the Solicitors acceptance of the offer, a contract of sale for the Solicitor's answer to the Users initial question is made in accordance with these Terms and Conditions.
Limits of free follow up questions
The number of follow up questions that a User can ask under one contract of sale is limited to 7 . If at their discretion a Solicitor continues to answer follow up questions for free, when more than 7 free follow questions have been asked, the Solicitor is acknowledging that they see it reasonable to provide the User with further free follow up questions under the contract of sale.
A User can be prevented from asking follow up questions through Talk2Solicitors.co.uk if they have been deemed to breach these Terms and Conditions.
In order for a User to ask a question on a new topic, unrelated to their initial question, they would have to purchase a new session, by paying the "Solicitor's Fee" listed on a Solicitor's profile and a new contract of sale will be formed as a result.
Time span of supply service by the Solicitor
A conversation between a Solicitor and User in which a Solicitor is providing services, advice and communication to the User is to last for a maximum of 7 calendar days starting from the "start date", which is the day on which the Solicitor provides a first response to a User's initial message through Talk2Solicitors.co.uk.
Users time response to a Solicitor message
If a User does not respond to a Solicitor's message within 7 calendar days of the start date. The Solicitor is deemed to have supplied the required service under the contract of sale and the session has been completed. The User will not be able to resume communication with the Solicitor in question until another session is purchased, unless agreed otherwise by the Solicitor.
Solicitors time response in answering a question
A Solicitor must respond to a User first message within 3 calendar days of the start date and follow up questions within 3 calendar days of the message. If a Solicitor fails to do so, they are regarded as breaching the contract of sale unless mutually agreed by the User and the Solicitor, they will not be entitled to any payment for services supplied under the contract, Fees, Service Charge, Membership plans and Stripe Charge
Authorization of collection of payment via credit card or debit card
You agree to pay the required amount for your use of Talk2Solicitors.co.uk and for advice asked of a Solicitor in accordance with these Terms and Conditions by one of the methods described on Talk2Solicitors.co.uk e.g. debit card or credit card. You hereby authorize the collection of such payments or debt amounts from your debit card or credit card either directly by Talk2Solicitors or indirectly via a third party online payment processor or third party Subscription billing company.
Talk2Solicitors cannot control any fees that may be charged to a your bank account related to collection of payment and Talk2Solicitors disclaims all liability in this regard.
The amount due and payable by a User solely relating to asking a Solicitor a question is the “Solicitor Fee”. It is the Solicitor and not Talk2Solicitors which determines the "Solicitor's Fee". The "Service Charge" will be deducted from the "Solicitors Fee". The remainder of the "Solicitors Fee" is paid to the Solicitor.
Talk2Solicitors charges a "Service Charge". The "Service Charge" is deducted from each payment of a "Solicitors Fee" before the "Solicitor's Fee" is paid to a Solicitor. The Service Charge is 45% of a "Solicitors Fee". The "Service Fee" covers administration and maintenance costs of the platform.
Payment processing on Talk2Solicitors.co.uk is carried out by Stripe, a third party provider. All Solicitors on Talk2Solicitors.co.uk are required to sign up to Stripe from their personal account dashboard on Talk2Solicitors.co.uk website. Without this, payments cannot be processed on a Solicitor's Account nor can a User pay to obtain services, advice or communications from a Solicitor.
If a Solicitor does not sign up to an account with Stripe Connect or removes Talk2Solicitors access to their Stripe Connect account or performs any action that prevents Talk2Solicitors from deducting a "Service Charge", that Solicitor will be regarded as having breached these Terms and Conditions and will have their account deactivated without prior notice.
Stripe processing charge
Stripe, the payment processor which enables Users to pay Solicitors using debit card or credit card on Talk2Solicitor.co.uk. Stripe will deduct 2.4% plus 20p from every payment to a Solicitor by a User.
Payment of the "Solicitor Fee" to Solicitors
The "Solicitor Fee" minus the 45% "Service Charge" and Stripe processing payment fee of 2.4% + 20p is paid directly into the bank account details that the Solicitor provides upon sign up with Stripe Connect. The Payment will be made within 7 calendar days of the completion of the payment by a User and the completion of the provision of services, advice and communications by the Solicitor for the session purchased by the User.
In total Solicitors will receive the "Solicitor's Fee" listed on their profile at the time of User's purchase, minus a 45% "Service Charge" and Stripe processing payment fee of 2.4% + 20p.
In the case that a User is entitled to a refund, the Solicitor in question will not receive payment of a "Solicitor's Fee", nor will Talk2Solicitors liable for such payment.
Solicitors accept and agree that there may be times when the "Solicitors Fee" is paid late. Solicitors agree that Talk2Solicitors will not be liable for late payments of the "Solicitors Fee" to Solicitors or for any loss caused as a result. No interest payments will be paid to Solicitors.
As a User you agree that when you select a Solicitor, to ask a question, submit your question, and pay the "Solicitor's Fee", you are entering into a contract of sale for a Solicitors services, advice and communication.
You agree and understand that you will be required to agree to any terms, conditions, rules and restrictions set by that Solicitor which may affect your right to a refund. You acknowledge and agree that you, and not Talk2Solicitors, will be responsible for performing these obligations. Talk2Solicitors disclaims all liability arising from or related to any such agreements.
Fixed Fee payment
The "Solicitors Fee" that a User pays to a Solicitor is a fixed fee. When a User's completes payment of the "Solicitors Fee", a User's payment obligation to a Solicitor for such an amount in return for a Solicitors services, advice and communication over one session is counted as being fulfilled, except where the User wishes to purchase a wholly new session with a Solicitor.
Talk2Solicitor's right to enforce payment of the "Solicitor Fee"
Solicitors grant Talk2Solicitors the right to enforce payment from Users on their behalf for a "Solicitors Fee" owed to a Solicitor by a User. However Talk2Solicitors is not obligated to exercise this right and can use this right at it's sole discretion.
Solicitors Membership Plans
Subject to these Terms and Conditions, Talk2Solicitors grants Solicitors who are subscribed to a paid Solicitors Membership plan (as opposed to Free Trial plan) with Talk2Solicitors.co.uk a limited, revocable, non-transferable and non-exclusive license to use a Solicitor's Account and appear on Talk2Solciiors.co.uk website only for purposes listed in these Terms and Conditions. This licence is granted only to the extent necessary for a Solicitor to access and use a Solicitor's Account in accordance with these Terms and Conditions. The licence is revoked when a Solicitor ends their subscription to a paid Solicitors Membership plan.
The offering of a Solicitors Membership plan and access to the account features is dependent on the membership plan you are on. Solicitors Membership plans and their account features are listed on Talk2Solicitors.co.uk. Talk2Solicitors reserves the right to amend the offering of account features without prior notice.
As a Solicitor, you subscribe to a Solicitor's membership plan and on a monthly contract that renews each month referred to as a Monthly Plan or a 12 month contract agreement referred to as an annual plan.
If a Solicitor selects a monthly membership plan, the Solicitor will pay for a month's use of Solicitor's Account on a monthly basis. Talk2Solicitors will bill the Solicitor in advance for the succeeding month. Talk2Solicitors will provide Solicitor with the monthly rate when Solicitor orders the membership plan, and will use this rate to calculate the fees, on a prorated basis, for a Solicitor's daily usage during that month.
A Solicitor can opt to upgrade or downgrade their monthly term contract to any other contract agreement that Talk2Solicitors is currently offering for sale at any time during their monthly contract term.
If a Solicitor selects an annual membership plan, Talk2Solicitors will bill the Solicitor once at the beginning of the annual plan for the sum of the whole annual term. The Solicitor will receive a discount which will be reflected in the amount a Solicitor is requested to pay. A Solicitor can opt to upgrade their annual term contract to a higher annual membership plan that Talk2Solicitors is currently offering for sale at any time during their annual contract term. However a Solicitor will not be able to downgrade or cancel their contract during their annual term.
A Free Trial of a Solicitor's Account may be granted by Talk2Solicitors and must be used by a Solicitor in accordance with these Terms and Conditions.
A Free Trial entitles a Solicitor the use of a Solicitor's Account for a period of 14 calendar days from the moment that they are granted their Free Trial.
If a Solicitor does not subscribe to a paid monthly plan or annual plan before their Free Trial period ends, they will no longer be able to access or use a Solicitor's Account, nor will they appear on Talk2Solicitors.co.uk. Any information or content that they have posted on Talk2Solicitors.co.uk will be deleted and be unrecoverable.
Solicitors may only use a Free Trial Offer once. Talk2Solicitors reserves the right to withdraw or to modify a Free Trial Offer without prior notice and with no liability.
Solicitor's Account renewal & cancellation
At the end of a contract term, a Solicitor's membership contract will be automatically renewed for an additional contract term, until explicitly cancelled by the Solicitor. A Solicitor's contract will be renewed onto the same Membership plan as they were on prior to their contract ending. Solicitors must give 7 days notice before their contract terms ends to cancel a renewal. This is to ensure that there is adequate processing time available.
A Solicitor can cancel an order for a membership plan up to 7 working days after their order, permitting that they have not used their Solicitor's Account. If they have logged into their Solicitor's Account, they will be counted as having used their membership plan, and will not be able to obtain a refund of payment.
For cancellation of a monthly membership plan 14 days notice of cancellation must be given to allow for adequate processing time.
An annual membership plan contract cannot be cancelled during it's annual term.
All cancellations of membership plans and cancellations of renewals must be made by the Solicitors directly contacting Solicitors@talk2solicitors.co.uk. Solicitors must provide their full name and SRA identification number.
Changes to Talk2Solicitors Service Charge and Solicitor Membership plan fees
Talk2Solicitors has the right to exercise changes to its Service Charge and Solicitor Membership plan rate. Changes are effective after Talk2Solicitors has provided you with a fourteen (14) days notice by posting the changes on Talk2Solicitors.co.uk or by informing you by email.
Talk2Solicitors has the right to temporarily change its Service Charge and Solicitor Membership Plan rates for temporary promotional events without notice. Such changes are effective when Talk2Solicitors posts them on the website and your plan will be updated accordingly.
Talk2Solicitors may at its sole discretion, change some or all of its services at any time. In the event Talk2Solicitors introduces a new service, the rates for that service are effective at the launch of the service.
Talk2Solicitors may provide discount rates membership rates to new Solicitors who have not previously used Talk2Solicitors
Changes to Stripe Processing Payment Charges
Solicitors agree that Talk2Solicitors has no liability for changes that occur to the Stripe payment processing amount that is deducted from the "Solicitors Fee". Solicitors agree through these Terms and Conditions that Talk2Solicitors has made them aware that the Stripe payment processing charge may change at any point in time. It is a Solicitors duty to ensure that they keep updated on Stripe payment processing charge amount.
Changes to the "Solicitor Fee"
You agree that Solicitors can change their fixed fee "Solicitor Fee" at anytime. A change in a "Solicitor Fee" will not apply to services, advice and communication sessions with a Solicitor that are currently underway at time of the change or services, advice and communication sessions that have been purchased prior to the change. A change will only apply when it has been implemented with Stripe and being clearly visible on the final checkout area of Talk2Solicitors.co.uk
You are responsible for paying all fees and applicable taxes associated with using Talk2Solicitors. For Solicitors this includes all related Value Added Tax payments.
A User can cancel their purchase of a Solicitor's service, advice or communication up to 7 working days after their order, providing a Solicitor has not provided a response to them prior. In order for a User to cancel their order, they must contact Support@talk2solicitors.co.uk and state their request, along with their full name, and the name of Solicitor in question, and date on which they made the order. Talk2Solicitors will then confirm if the User is entitled to a full refund.
A Solicitor agrees that in the case that a User cancels an order prior to receiving a response from a Solicitor, Talk2Solicitors has the right to grant a full refund to the User of the Solicitor Fee.
Solicitor's late response
If a Solicitor fails to respond to a User question within 3 calendar days without mutual consent with the User, the Solicitor will be regarded as failing to comply with the contract of sale, and will forfeit their "Solicitor Fee". A response by a Solicitor outside the scope of 3 calendar days will be regarded as a late response, unless otherwise mutually agreed with the User, as a result the Solicitor will not be entitled to a "Solicitor Fee" for services supplied under the contract and the User will be entitled to a full refund.
If a User does not raise a complaint with Support@talk2solicitors.co.uk regarding a late response and continues their session with a Solicitor by replying to the Solicitor's late response or concluding the session, the User will be regarded as having accepted the Solicitor's late response as being part of the contract of sale for the Solicitor's services and the Solicitor will be entitled to their "Solicitor Fee". The User will not be entitled to a refund.
Solicitor's no response
If a Solicitor fails to respond at all within 7 calendar days of the User submitting their initial message, this will be regarded as a "Solicitor no response". The Solicitor will be deemed to have not supplied the required service under the contract of sale and not be entitled to a "Solicitor Fee" for services supplied under the contract between the User and Solicitor.
Solicitor's unsatisfactory supply of service
If the User is not satisfied with the Solicitor's response, the User can ask Talk2Solicitors to review their case and make a decision.
A Solicitor agrees and understands that if Talk2Solicitors is asked to review a case that they are a party to, we will ask them to provide evidence of satisfactory supply of service to the User to us within 7 calendar days. If the Solicitor fails to comply without any explanation, we may refund the Solicitor Fee to the User without a prior notice to the Solicitor in question.
Solicitors give the right to Talk2Solicitors to refund a Solicitor Fee for a service supplied to a User by a Solicitor on their behalf if Talk2Solicitors finds the service supplied by a Solicitor to be unsatisfactory.
Effect of User's disputes, complaints chargeback or other claims on payment of a "Solicitor's Fee"
In the case that Talk2Solicitors suspects a Solicitor's actions and/or performance to have caused a User's complaint about the service from a Solicitor, charge backs or other claims, then we may, in our sole discretion, delay initiating any payments and withhold payments of the Solicitors Fee due for up to a period of 90 calendar days.
If within the period of 90 calendar days Talk2Solicitors finds that a Solicitor actions and/or performance did in fact cause a User complaint about the service they received from a Solicitor, chargeback, or other claims, then we may in our sole discretion, permanently withhold the relevant payments and terminate your Solicitor's Account without prior notice.
If Talk2Solicitors determines that a Solicitor's Account has been used to breach these Terms and Conditions, engage in fraud or other illegal activity, then we may, in our sole discretion, permanently withhold payments and terminate that account without notice.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Term and Conditions governing your use of Talk2Solicitors.co.uk.
Changes to Terms and Conditions
You understand and agree that your use of Talk2Solcitiros.co.uk after the date on which the Terms and Conditions have changed will be treated as an acceptance of any revisions to the Terms and Conditions.
You may not assign or transfer these Terms and Conditions, or any right granted under them, without our written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Talk2Solicitors can freely transfer its rights under the Terms and Conditions.
If any part of these Terms and Conditions ceases to be lawful or legally enforceable, then that part alone will be severed from the rest of the Terms and Conditions and the rest will continue to apply.
We may provide you with notices or communications, which will be given to you by:
(i) email (in each case to the address that you provide);
(ii) posting to Talk2Solicitors.co.uk and your account;
(iii) phone call or text (on the landline or mobile number that you provide); or
(iv) other reasonable means now known or developed in the future.
By providing us with your email, landline phone number and mobile phone number, you agree to us contacting you by these means.
Failure to enforce
The failure by Talk2Solicitors to enforce or exercise any provision of these Terms and Conditions, or any related right, will not be a waiver of that provision or right.
These Terms and Conditions and any dispute or claim arising out of or in connection with are governed by and interpreted in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales concerning any dispute or claim arising between you and us.
You and Talk2Solicitors agree that any dispute, claim or controversy arising out of or relating to these Terms and Conditions, termination, enforcement, interpretation or validity thereof, or to the use of the Talk2Solicitors.co.uk or Solicitors services, advice and communication will be settled by binding arbitration, except that each party retains the right to bring a claim or seek an injunctive right in a court of England and Wales.
